NOW IT IS HEREBY MUTUALLY AGREED between the parties hereto as follows:
CLAUSE 1
In consideration of the payments hereinafter mentioned the Publishers shall during the
legal term of copyright have the right to produce and publish and deal with the rights in the
Work or any abridgment of the Work or any substantial part of the Work as and in such
territories as is hereinafter provided.
CLAUSE 2
The Author agrees to complete and deliver two copies of the typescript of the Work ready
for the printer by 30th June, 1973.

CLAUSE 3
The Author hereby warrants to the Publishers that the Work is an original work, has not
been published in volume form within the territories covered by this Agreement and is in
no way whatever a violation or infringement of any existing copyright, that it contains nothing
obscene, objectionable, indecent, libellous, or otherwise actionable, that all statements con-
tained therein purporting to be facts are true, that he has full power to make this Agreement
and that he will indemnify the Publishers against any loss, injury or damage (including any legal
costs or expenses and any compensation costs and disbursements paid by the Publishers
on the advice of their legal advisers to compromise or settle any claim) occasioned to the
Publishers in consequence of any breach of this warranty.
The Publishers reserve the right without prejudice to their other rights under this Clause
to alter the text of the Work as may appear to them appropriate for the purpose of removing
any passage which in their absolute discretion or on the advice of their legal advisers may be
considered actionable at law.

CLAUSE 4

CLAUSE 5
Ifi in the opinion of the Author or the Publishers an index is desirable, it shall be supplied
by the Author or at his expense.
CLAUSE 6
If the Work contains passages .quoted from other works that are in copyright, the Author
undertakes to obtain written permission from the owners of the respective copyrights to
reprint such passages and the Author undertakes to pay all fees in connection therewith.
CLAUSE 7
The Publishers shall have the entire control of the publication; and the paper, printing,
binding, jacket and embellishments, the manner and extent of advertisement, the number
and distribution of free copies and the price and terms of sale of the first and any subsequent
edition shall be in their sole discretion. The Publishers shall bear all expenses of production
and advertising except the amount, if any, by which the cost of the Author's corrections of
proofs other than printer's errors, as per printer's invoice, exceeds ten per cent of the cost
of type-setting, which excess amount shall be borne by the Author.
CLAUSE 8 A. During the legal term of copyright the Publishers shall have the exclusive right to publish

(x) Remainders: 10 per cent of the net amount received by the Publishers on all copies

B. During the legal term of copyright the Publishers agree to pay to the Author the following
proportions of all monies received by them for the reasons stated below:
(i) One half of sums paid for the right to use or reproduce illustyations, maps, or plans ap-
pearing in the Work which have been provided by the Author.
(ii) Two-thirds of any sums obtained by the Publishers (less/legal costs and expenses) in
respect of infringements of copyright.
C. During the legal term of copyright the Publishers shal/have the exclusive right to nego-
tiate the sale of the following subsidiary and other rights/within the British Commonwealth
and Empire as politically constituted on the date of this agreement
and in the Irish Republic, South Africa, Burma, Beypt, Iraq, Israel, Jordan and the
British trusteeships and all net proceeds from these sales shall be divided between the Author
and the Publishers in the following proportions:

means whether by sight, sound or a combination of both.
D. During the legal term of copyright the Publishers shall have the exclusive right to deal
and negotiate for the publication of the Work throughout the United States and her dependen-
cies, bothan volume form and in respect of all subsidiary and other rights, (which expression
shall inçlude those rights specified in Clause 8C above) and all net proceeds from these sales

specified in Clause 8C) and all net proceeds from these sales except as /provided for in
Clause 8G below, shall be divided between the Author and the Publishers in the following
proportions:

G. In the event ofa foreign publisher (other than an American/publisher) importing sheets of
the Work whether bound or unbound the Publishers shall pay the Author 10% (ten per cent)
of the net proceeds of such a transaction unless such copies are sold subject to a separate
royalty agreement in which case Clause 8F shall apply.
H. On account and in anticipation of all sums due under this Agreement the Publishers agree
to pay to the Author the sum of

promotion of the Work.
(ii) Destroyed by firef water, enemy action, in transit, or otherwise.

CLAUSE 9
The Publishers Shall render the first four accounts of the Work as at June 30 and
December 31 next following the date of first publication and subsequently annually as at
December 31, gnd all monies due to the Author shall be paid to him within four months of
the said accgantancy dates, provided, however, that no account need be submitted unless
specifically Aemanded nor payment made in respect of any year in which the sum due is less
than f1, jn which case the amount will be carried forward to the next accountancy date.
The Author or his authorised representative shall have the right, upon written request
and upon reasonable notice, to examine the books of account of the Publishers in so far as they
relae to the sales of the Work, which examination shall be at the cost of the Author unless

CLAUSE 10 The Author shall not during the continuance of this Agreement without the consent of
the Publishers publish any abridgement or part or translation or dramatisation of the Work
in serial or volume form nor shall the Author prepare otherwise than for the Publishers any
work which reproduces in identical or similar form any considerable part of the Work or
which is of a nature likely to affect prejudicially the sales of the Work.
CLAUSE 11
The Publishers shall send to the Author or his representative on the day of first publication
six presentation copies of the Work and the Author shall be entitled to purchase further copies
for personal use on trade terms.
CLAUSE 12 The-Publishero-ohal-have-power-in-their-diseretion-to-alter-the-published-price-ef-any
edition as they may think fit and to sell part or the whole of the residue ofany edition at a
reduced price, or as a remainder at the best prices such steckwill fetch. The Publishers
shall give the Author the first refusal of purchasing such stock at the remainder price. This
option shall be sufficiently complied with on the Publishers' part by posting to the Author at
his last known-eddress an offer of such remainder stock and this offer shall be deemed to be

and revise all editions of the work during the currency of this Agreement and shall supply
any new matter that may be needful to that end. In the event of the Author neglecting or
being unable by reason of death or otherwise to edit or revise the Work, or supply now matter
where needful, the Publishers may procure some other person to edit or revise the Work, or
supply new matter, and may deduct the expense thereof from the royalties payable to the
Author or his beneficiary and this provision shall be deemed to be authorityfo the Publishers
so to act.
CLAUSE 14 If the Work shall become out of print and not be available in anyedition published by the
Publishers or in any British edition published under license fropi the Publishers the Author
may give nine months' notice in writing to the Publishers to re-issue or reprint the work.
Should the Publishers fail to comply with such notice all pheir rights in the work shall upon
expiration of the said notice determine.
CLAUSE 15 If the Publishers at any time by themselves oy/anyone acting on their behalf fail to ful-
fil or comply with any of the conditions accepted by them in this Agreement within one
month after written notification from the Author of such failure (provided that such failure is
not due to circumstances beyond their control) or should the Publishers go into liquidation,
other than voluntary liquidation for the purposes of reconstruction, this Agreement shall
thereupon determine and the Authoybe free to license any other person to print and publish
the Work, notwithstanding anything to the contrary contained or implied in any part
of this Agreement.
CLAUSE 16 The Author agrees to give the Publishers the first option of publishing (including the first
opportunity to read 3ad consider for publication) the next full length work suitable for
publication in volupe form which he may write after the Work the subject of this Agreement
on terms to be 3greed, such terms to be fair and reasonable. The Publishers shall give their

CLAUSE 18 If at any time any dispute, differences or questions shall arise between the parties hereto
touching the construction meaning or effect of this Agreement or any clause or thing herein
contained or the rights or liabilities of the said parties respectively or any of them under this
Agreement or otherwise howsoever in relation to the premises then every such dispute,
difference or question shall be referred to the arbitration of two (2) persons (one to be named
by each party) or of their umpire and this shall be deemed to be a submission to arbitration
within the Arbitration Act, 1950, or any statutory modification or re-enactment for the time
being in force the provisions whereof shall apply.
CLAUSE 19 This Agreement shall be subject to and construed according to the law of England.
CLAUSE 20
The Publishers shall be responsible for obtaining all illustrations
and for paying of print and reproduction fees. The Author acrees
to submit to the Publishers a list of sugcested illustrations and
draft captions, but the final choice of illustrations and wording
of the captions shall be the sole discretion of the Publishers.
CLAUSE 21
All monies due under the terms of this Agreement shall be paid by
the Publishers to the Author's Agents, Bolt & Watson of 8 Storeyls
Gate, London S.W.1 who are hereby authorised by the Author to act
on his behalf and whose receirt shall be a full and sufficient dis-
charge of the monies reeeived. The said Bolt & Watson are also
empowered by the Author to deel with the Publishers in all matters
arising out of this Agreenent.

3. The copyright line to be printed as by law on every copy of the said work issued

or which with the intention of the Author is libellous and the Author will indemnify the
Publishers against any loss injury or damage (including any legal costs or expenses
properly incurred) occasioned to the Publishers in consequence of any breach (unknown
to the Publishers) of this warranty.
6. All rights other than those herein specifically granted to the Publishers are hereby
reserved to the Author

7. If the Publishers fail to fulfil or comply with any of the provisions of this
agreement within one month after written notification from the Author or his
representatives of such failure or if they go into liquidation other than a voluntary
liquidation for purposes of reconstruction only then and in either of these events this
agreement shall automatically determine without prejudice to any claim which the
Author may have either for moneys due and/or damages and/or otherwise.
8. If the said work be allowed to go out of print to the extent of there being less
than one dozen in stock and should the Publishers or their sub-licensees fail to issue
a new edition of not less than 500 (five hundred) copies of the said work within (a) nine
months of receiving a written request from the Author or his representatives so to do
or (b) within two years from the date on which the said work goes out of print then this
agreement shall automatically determine in respect of the said work without prejudice
to royalties and other moneys due to the Author from the Publishers and without
prejudice to the Publishers continuing enjoyment of the benefits of any sub-licences
granted to them with the Author's consent during the continuence of this agreement.
9. When the demand for the said work has evidently ceased the Publishers shall be
at liberty to dispose of the remainder at remainder price which shall not be subject to
royalties but when sold above cost the Author shall be entitled to 10% (ten per cent) of
the net receipts of the copies sold. The Author shall have the option of purchasing
remainder copies at the remainder price. The Publishers shall not destroy their
remaining stock without first offering some copies to the Author.
10. All details as to the manner of production publication and advertisement and the
number and destination of free copies shall be left to the discretion of the Publishers
who shall bear all expenses in connection therewith except the amount (if any) of Author's
corrections in the proofs (other than printers errors) in excess of 10A% (tenffituex
per cent) of the cost of composition which extra amount shall be borne by the Author and
settled in account.
11. The Author shall receive on publication six presentation copies of the said work and
shall be entitled to purchase further copies for personal use (but not for re-sale) at
two-thirds of the published price.
12. The Publishers shall be responsible for obtaining all illustrat-
ions and for paying all print and reproduction fees. The Author agrees
to advise and assist if so required with the choice of illustrations
and the wording of captions.
13. If in the opinion of the Author or the Publishers an index is
desirable, it shall be supplied by the Author or at his expense.
14. This agreement shall be subject to and construed according to
the laws of England and the parties hereby submit to the juris-
diction of the High Court of Justice.
All moneys due under this agreement shall be paid to the Author's representatives
Bolt & Watson Ltd of Chandos House, Buckingham Gate, London SW1 whose receipt shall
be a full discharge of the moneys received and the said Bolt & Watson Ltd is hereby
empowered by the Author to conduct negotiations with the Publishers in respect of all
matters arising in any way out of this agreement.

you wanted for the cover, and in any event; the Book Club, which as

The Book Club also took offence to the passage early on about the
'gaping vagina' and we had to cut a little bit here. I did try
to ring you but the lines to Italy are as bad as ever. I hope
you don't mind too much.
Galleys are due on 16th September and need to go back with the
illustrations and captions by October 5, and if you are around I
look forward to seeing you then.

As is usual for the series books, Weidenfeld sent us
their contract, and we have hacked it about somewhat. The
changes were settled over the phone, which means they
haven't actually seen this version! I mention this just
in case we have to come back on a point or two; though I
think that unlikely.

Many thanks for the story, THE HONEST COVE, which
I'll be reading as soon as I have a moment.
I have to
confess ignorance of the previous Housewife story. I
wonder how long ago that was - but no matter.
We have in fact been trying to work out a deal
between Constable and St. Martins since about June, and
just before your letter arrived I'had one from Ben to
say that they had worked out their exact cost now and
giving us some figures which I have passed on to the
Americans. It's always something of a problem because
their mark Vp is a good deal higher than ours which means
they tend to ask for a price which is below the English
publisher's cost price. However, I'm hopeful that we have
found a formula which will work. I'll confirm presently
of course.
Constable expect to publish in about April and are
going into galleys first of all which will give a bit more
leeway for sorting out the maps and illustrations. Ben
seems to feel they have these pretty well organised, but if
you have any doubts why not get in touch with him andl fix a
meeting now you are in London? As this has bean an editorial
matter between author and publisher I haven't so far been
involved, but am, needless to say, perfectly ready to get
involved if necessary.
You are quite wrong in thinking that an agent is
hampered by the fact that he has other clients. This is in
fact precisely an agent's strength. LThe amount of pressure
we put on a publisher depends very much on the instructions
we get from the author. If the author is prepared to withdraw
the book altogether and risk its not finding a home elsewhere,
there's no limit to the pressure we can put on.
As I thought I explained the other evening, one very
good reason why we do not like taking a legalistic view and
sticking to the letter of the contract is because authors on
the whole are very much worse offenders than publishers are,
and we should be in trouble if publishers insisted rigorously
on keeping to delivery dates.
What on earth a Writers Guild
could do is quite beyond me. In a free and competitive market

the author is always in effect able to withdraw his work
and a publisher who proves tiresome will find that agents
do not send him manuscripts - it's as simple as that.
